Terms of Service

These Terms of Service ("Terms") govern your use of the RIA Health Check website and compliance scanning service ("Service") operated by RIA Health Check ("we," "us," or "our"). By using the Service, you agree to these Terms.

1. Service Description

RIA Health Check provides an AI-assisted compliance scanning service that reviews publicly accessible website content of SEC-registered investment advisers against regulatory requirements, including the SEC Marketing Rule (Rule 206(4)-1), Form ADV requirements, and related regulations.

The Service generates compliance risk scorecards and reports based on automated analysis of publicly available information.

2. Important Disclaimers

Not legal or compliance advice. The Service is provided for informational and educational purposes only. Our reports and scorecards do not constitute legal, compliance, regulatory, or investment advice. Nothing in our reports should be interpreted as a finding of any violation of applicable laws or regulations.

Not a substitute for professional review. Our automated analysis is not a substitute for review by qualified compliance counsel, a Chief Compliance Officer, or other compliance professionals. We strongly recommend that all findings be reviewed by your firm's compliance team before taking action.

No professional relationship. Use of the Service or receipt of a report does not create a lawyer-client, adviser-client, or other professional advisory relationship between you and RIA Health Check.

Not affiliated with the SEC. RIA Health Check is not affiliated with, endorsed by, or sponsored by the U.S. Securities and Exchange Commission, FINRA, or any other regulatory body.

3. Acceptable Use

You agree to:

  • Provide accurate information when requesting a scan
  • Use reports and scorecards only for your own firm's internal compliance review purposes
  • Not redistribute, resell, or publicly publish our reports without our written permission
  • Not use the Service to harass, defame, or harm other businesses
  • Not attempt to reverse-engineer, scrape, or automate access to our Service

4. Intellectual Property

The Service, including our scanning methodology, report templates, website content, and branding, is our proprietary intellectual property. Reports generated for your firm are licensed to you for your internal use only.

5. Accuracy and Limitations

While we strive for accuracy, our Service has inherent limitations:

  • Analysis is based on publicly accessible website content at the time of scanning and may not reflect recent changes
  • We cannot access password-protected content, mobile apps, or social media accounts
  • Form ADV cross-referencing uses publicly available IAPD data which may not reflect the most recent filing
  • AI-assisted analysis may produce false positives or miss certain issues
  • Website accessibility findings are limited to content-level indicators and do not constitute a full WCAG audit

We do not guarantee the completeness, accuracy, or reliability of any report or finding.

6. Refunds

Compliance reports are delivered digitally as a completed, personalised analysis. Once the full report has been delivered to your inbox, refunds are not offered except in the following circumstances:

  • Delivery failure. If your report cannot be delivered due to a technical issue we're unable to resolve, we will issue a full refund.
  • Material factual errors. If within 7 days of delivery you identify a material factual error — for example, a finding based on content that clearly was not present on your public website at the time of the scan — email us at info@riahealthcheck.com. We will review the issue in good faith and either correct the report or issue a full refund.
  • Duplicate charges. Accidental duplicate charges are refunded in full.

To request a refund, reply to your Stripe receipt or email info@riahealthcheck.com with your order reference and the reason for your request. Approved refunds are processed within 5 business days to the original payment method.

Refund requests submitted more than 30 days after delivery, or based on dissatisfaction with findings that are correctly supported by publicly available evidence, are generally not eligible.

7. Limitation of Liability

To the maximum extent permitted by law, RIA Health Check shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service, including but not limited to damages arising from regulatory actions, compliance failures, or business decisions made based on our reports.

Our total liability for any claim arising from the Service shall not exceed the amount you paid for the specific report giving rise to the claim.

8. Changes to Terms

We may update these Terms from time to time. Continued use of the Service after changes constitutes acceptance of the updated Terms.

9. Governing Law

These Terms are governed by the laws of the United States. Any disputes shall be resolved through binding arbitration.
